Terms and Conditions - Referral Program

These Terms and Conditions (the “Referral Program Terms”) govern participation in the Sous Customer Referral Program (the “Program”) operated by Sous, Inc. (“Sous,” “we,” “us,” or “our”). By participating in the Program as a referrer or by redeeming a referral code as a new customer, you agree to be bound by these Referral Program Terms, the Sous Terms of Service, and the Sous Privacy Policy. All amounts referenced in these Referral Program Terms are in United States Dollars (USD).

1. Eligibility

To participate in the Program as a referrer (a “Referrer”), you must:

  • Be at least 18 years of age;

  • Have an active Sous customer account in good standing;

  • Have completed at least one paid Sous service; and

  • Reside in a geographic market currently served by Sous.

Sous employees, contractors, chefs on the Sous platform, and members of their immediate households are not eligible to participate as Referrers. Affiliate Program partners may not earn referral credit for the same customer that triggers an affiliate commission.

To redeem a referral code as a new customer (a “Referee”), you must:

  • Be at least 18 years of age;

  • Be a new Sous customer who has never previously created a Sous account or booked a Sous service;

  • Reside in a geographic market currently served by Sous; and

  • Not share a household, billing address, or payment method with the Referrer.

2. How the Program Works

Each eligible Referrer receives a unique referral code or link through their Sous account. When a Referee uses that code or link to book and complete their first meal prep service with Sous, both parties become eligible for rewards as described below. By entering a referral code at booking, a Referee consents to receive transactional and promotional communications from Sous in accordance with the Sous Privacy Policy and applicable opt-out mechanisms.

3. Referee Reward

Referees receive ten percent (10%) off their first meal prep service when they apply a valid referral code at the time of booking. The Referee reward:

  • Applies only to the chef service fee, not to grocery costs, processing fees, gratuities, or taxes;

  • May not be combined with any other promotional code, discount, credit, or offer;

  • Applies to the first meal prep service only and is not valid on subsequent bookings; and

  • Is forfeited if the Referee cancels the service before completion or receives a full refund.

4. Referrer Reward

When a Referee completes a qualifying service, the Referrer earns account credit equal to five percent (5%) of the net service revenue generated by that Referee during the twelve (12) months following the Referee’s first completed service, subject to a maximum cap of five hundred U.S. dollars ($500) per Referee.

Referrer credit:

  • Is issued automatically and applied to the Referrer’s Sous account approximately four (4) days after each qualifying completed service by the Referee;

  • Is calculated on net service revenue, excluding grocery costs, processing fees, gratuities, taxes, refunds, and chargebacks;

  • Stops accruing twelve (12) months after the Referee’s first completed service, or when the $500 cap is reached, whichever occurs first;

  • May be earned across an unlimited number of Referees, with the cap applying separately to each Referee;

  • Is non-transferable, has no cash value, and may not be redeemed for cash or refunded; and

  • May only be applied toward future Sous services on the same account that earned the credit.

5. Definition of a Completed Service

For purposes of these Referral Program Terms, a service is deemed “completed” when (a) the chef has finished the booked engagement, (b) the order has been marked in Sous’s systems as Paid Active (PA), Active Recurring (AR), or Completed (C) at the parent order level, as applicable, and (c) the standard refund and dispute window has elapsed without a full refund being issued. Services in any other status do not qualify for Program rewards.

6. Refunds, Chargebacks, and Clawback Rights

If a service that triggered Referrer credit is subsequently refunded in whole or in part, charged back by the Referee, or otherwise reversed:

  • Sous will recalculate the credit owed and reduce or reverse the Referrer’s credit accordingly;

  • If the Referrer has not yet used the credit, the adjusted amount will be deducted from the available balance;

  • If the Referrer has already used the credit, Sous may, at its sole discretion, deduct the corresponding amount from future earned credit or invoice the Referrer for the difference; and

  • Partial refunds will result in a proportional reduction of credit.

Sous reserves the right to delay issuance of credit beyond the standard four (4) day window where a refund, chargeback, or dispute is reasonably anticipated.

7. Credit Expiration

Issued account credit expires twelve (12) months from the date it is credited to the Referrer’s account. Expired credit is forfeited and cannot be reinstated. Notwithstanding the foregoing, where applicable law (including, without limitation, California Civil Code § 1749.5 and similar state statutes) prohibits the expiration of stored account credit or treats such credit as a gift certificate, this expiration provision shall not apply to the extent prohibited, and credit issued to residents of such jurisdictions shall remain valid for so long as required by applicable law.

8. Restrictions and Prohibited Conduct

The Program is intended for genuine, personal recommendations. The following are prohibited:

  • Self-referrals: referring yourself or creating duplicate accounts to claim rewards.

  • Household referrals: referring individuals who share a residence, billing address, or payment method with you.

  • Fraudulent activity: using fake accounts, bots, automated scripts, or any deceptive method to generate referrals or rewards.

  • Spam and unauthorized promotion: distributing your referral code through unsolicited email, SMS, paid search advertising on Sous-branded keywords, coupon or deal aggregator sites, or any channel that violates applicable law (including, without limitation, the CAN-SPAM Act and the Telephone Consumer Protection Act) or any third party’s terms of service.

  • Misrepresentation: implying you are an employee, agent, or official representative of Sous, or making false or misleading claims about Sous, its chefs, or its services.

  • Stacking: combining the Referee’s 10% discount with other promotions, codes, credits, or offers.

Sous reserves the right, in its sole discretion, to investigate suspected abuse and to void rewards, reverse credits, suspend or terminate accounts, and pursue any other remedy available at law or in equity in the event of a violation.

9. FTC Disclosure Obligations

As a Referrer, you have a material connection to Sous because you receive account credit for successful referrals. In accordance with the U.S. Federal Trade Commission’s Endorsement Guides (16 C.F.R. Part 255) and any successor or analogous regulations, you must clearly and conspicuously disclose this relationship whenever you promote Sous or share your referral code or link, including on social media, in blog posts, in personal communications, and in any other public or semi-public channel. Acceptable disclosures include phrases such as “I get credit if you sign up,” “referral link,” or similar language that makes the material connection clear to the recipient. You are solely responsible for ensuring your disclosures comply with applicable law.

10. Order of Application

If a Referee submits more than one referral code, only the first valid code applied at the time of booking will be honored. Referral credit will only be issued to the Referrer associated with that code.

11. Dispute Process for Reward Calculations

If a Referrer believes credit has been miscalculated or improperly withheld, the Referrer must notify Sous in writing at support@sous.so within sixty (60) days of the date the disputed credit was issued or should have been issued. Disputes not raised within this period are waived. Sous will review the dispute in good faith and respond within a reasonable time. Sous’s good-faith determination regarding credit calculations is final, subject to any rights the Referrer may have under applicable law or the Sous Terms of Service.

12. Account Closure and Termination

If a Referrer voluntarily closes their Sous account, all unredeemed credit is forfeited as of the closure date. If Sous terminates or suspends a Referrer’s account for cause — including without limitation violation of these Referral Program Terms, the Sous Terms of Service, fraud, abuse, or misconduct toward chefs or other users — Sous may, in its sole discretion, void any unredeemed credit and reverse credits previously issued in connection with the prohibited conduct. Termination without cause shall not result in forfeiture of credit earned prior to termination, but such credit remains subject to the expiration provisions of Section 7.

13. Death or Incapacity

Account credit is personal to the Referrer and does not transfer upon death, incapacity, divorce, or by operation of law. Unredeemed credit in the account of a deceased or incapacitated Referrer will be forfeited upon Sous receiving notice of such event, except where applicable law requires otherwise.

14. Taxes

Referrers are solely responsible for any tax obligations arising from rewards earned through the Program. Sous does not provide tax advice. Because Program credit is a discount on future Sous services and has no cash value, Sous does not anticipate issuing IRS Form 1099s for Program credit; however, Sous may do so if required by applicable law. Referrers should consult their own tax advisors regarding any reporting obligations.

15. Privacy

Information collected in connection with the Program is handled in accordance with the Sous Privacy Policy. By participating, you consent to Sous’s collection, use, and storage of information necessary to administer the Program, including tracking referral activity and issuing rewards. You agree not to share Referee personal information with Sous without that person’s knowledge and consent, and not to import or upload contact lists in violation of applicable law.

16. No Employment or Agency Relationship

Participation in the Program does not create any employment, agency, partnership, joint venture, or franchise relationship between the Referrer and Sous. Referrers are not authorized to act on behalf of Sous, to bind Sous to any obligation, or to represent themselves as employees, agents, or official representatives of Sous.

17. Indemnification

You agree to indemnify, defend, and hold harmless Sous, its affiliates, and their respective officers, directors, employees, contractors, chefs, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your participation in the Program; (b) your breach of these Referral Program Terms; (c) your violation of any applicable law, including without limitation the CAN-SPAM Act, the Telephone Consumer Protection Act, and the FTC Endorsement Guides; or (d) any false, misleading, or unauthorized statement you make about Sous or its services.

18. No Warranty; Limitation of Liability

The Program is provided “as is” and “as available,” without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, Sous shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising out of or related to the Program, even if Sous has been advised of the possibility of such damages. Sous’s total aggregate liability arising out of or related to the Program shall not exceed the total amount of unredeemed, unexpired credit in the participant’s account at the time the claim arises.

19. Modification and Termination of the Program

Sous reserves the right, at any time and without prior notice, to modify, suspend, or terminate the Program in whole or in part; to change reward amounts, eligibility requirements, or other Program terms; and to disqualify any participant who violates these Referral Program Terms. Where reasonably practicable, Sous will provide notice of material changes through the Sous website or via email. Previously earned, unexpired credit will remain valid through its original expiration date unless the Program is terminated for cause related to fraud, abuse, or violation of these Referral Program Terms.

20. Governing Law and Disputes

These Referral Program Terms are governed by the laws of the State of Illinois, without regard to its conflict of laws principles. Any dispute arising out of or relating to the Program shall be resolved in accordance with the dispute resolution provisions of the Sous Terms of Service, including any binding arbitration and class action waiver provisions set forth therein.

21. Assignment

You may not assign or transfer any of your rights or obligations under these Referral Program Terms without Sous’s prior written consent, and any attempted assignment in violation of this section shall be void. Sous may freely assign these Referral Program Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

22. Waiver and Severability

No failure or delay by Sous in exercising any right, power, or privilege under these Referral Program Terms shall operate as a waiver of such right, power, or privilege, nor shall any single or partial exercise preclude any further exercise. If any provision of these Referral Program Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to render it enforceable while preserving the parties’ original intent.

23. Entire Agreement

These Referral Program Terms, together with the Sous Terms of Service and Privacy Policy, constitute the entire agreement between you and Sous regarding the Program and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to the same subject matter.
